Corporate Paralegal

About the Role

Beacon Ridge Legal is hiring a corporate paralegal to support six attorneys across our M&A and securities practices. You will own the mechanics that get deals closed: due-diligence data rooms in Datasite, closing checklists, UCC filings, and minute books. The work is hybrid out of our Chicago Loop office, and every overtime hour during a closing crunch is paid.

What You'll Do

• Build and maintain due-diligence data rooms in Datasite, including indexing, permissions, and daily upload logs
• Draft and track closing checklists for 8-12 active M&A transactions at a time, flagging open items to the deal team each week
• Prepare, file, and monitor UCC-1 and UCC-3 financing statements and run lien searches across multiple states
• Maintain minute books and corporate records for roughly 60 client entities, from formation through dissolution
• Manage signature packets, wire confirmations, and post-closing binders during closings
• Organize deal documents in iManage using firm naming and versioning conventions
• Coordinate with registered agents, state filing offices, and opposing paralegals to keep filings on schedule

What You'll Bring

• 3-6 years of corporate paralegal experience at a law firm or in-house legal department
• Hands-on experience supporting M&A transactions from diligence through post-closing
• Working knowledge of UCC filings and lien search procedures
• Experience maintaining minute books and entity records for multiple clients
• Proficiency with a document management system and a virtual data room platform
• Ability to work extended hours during signing and closing periods, with overtime paid
• Availability to work on site in Chicago at least 3 days per week

Nice to Have

• Direct experience with iManage and Datasite
• Exposure to securities filings, including Form D and blue sky filings
• Paralegal certificate from an ABA-approved program
• Experience with Delaware Secretary of State filings and good-standing requests
